Domain Name Leasing Agreement
Your Domain Name Lease
This Domain Name Leasing Agreement ("Agreement") governs Customer's lease and exclusive right to use eDomainRental.com. Provider retains ownership of the Domain Name, while Customer receives the exclusive right to use the Domain Name subject to this Agreement and its incorporated addendums.
Exclusive Right to Use
During the term of this Agreement, Customer has the exclusive right to use eDomainRental.com for any lawful purpose. Customer may select and use its own website hosting provider, name servers, email services, and other services associated with the Domain Name.
Customer's lease gives Customer the exclusive right to use the Domain Name but does not transfer ownership of the Domain Name to Customer. Provider shall maintain and control the registrar account and registrar of record for the Domain Name.
Lease Term and Payment
Customer agrees to pay the applicable Monthly Lease Amount or Yearly Lease Amount identified above, based upon the payment plan selected by Customer.
Customer's lease will continue in accordance with this Agreement and the incorporated Exclusive Right to Renew Addendum and Automatic Renewal Protection Addendum, provided the lease remains active and in good standing.
Your Lease Protections
Every linkUwant Domain Name lease includes important protections designed to give Customer long-term stability and confidence in building a business around the Domain Name.
Customer's lease includes the Exclusive Right to Renew, Automatic Renewal Protection, Price Lock Guarantee, and Consumer Price Index (CPI) Addendum. Each of these protections is explained in the applicable addendum attached to and incorporated into this Agreement.
Ownership and Transfer
Provider retains all ownership rights in eDomainRental.com. Customer is acquiring a lease/license and the exclusive right to use the Domain Name, not ownership of the Domain Name.
Customer may not sell, assign, sublicense, transfer, pledge, or otherwise transfer Customer's rights in the Domain Name or this Agreement without Provider's prior written consent.
If Customer separately obtains an Option to Purchase the Domain Name, Customer's purchase rights will be governed by the applicable Option to Buy Amendment included with Customer's agreement packet.
Customer Responsibilities
Customer agrees to use the Domain Name only for lawful purposes and in a manner that does not infringe upon the rights of another person or entity. Customer is responsible for the content, products, services, advertising, websites, email, and other activities conducted through or in connection with the Domain Name.
Customer is responsible for maintaining accurate and current contact and payment information, including Customer's email address, telephone number, mailing address, and payment information.
Provider will make reasonable efforts to contact Customer regarding important payment, renewal, or account matters using the contact information provided by Customer. Customer acknowledges that keeping this information current and monitoring Customer's account remains Customer's responsibility.
Customer agrees to comply with applicable laws and with applicable requirements of domain registries, registrars, ICANN, and other organizations having authority over the registration or operation of the Domain Name.
Domain Registration and Third-Party Requirements
The registration and continued operation of a domain name may be subject to rules, policies, procedures, or actions of domain registries, registrars, ICANN, governmental authorities, or other third parties outside Provider's reasonable control.
Provider does not guarantee that a Domain Name will be immune from a lawful court order, governmental action, registry or registrar action, ICANN proceeding, or other legally binding requirement.
Customer Representations
Customer represents that Customer has the legal authority to enter into this Agreement and that Customer's intended use of eDomainRental.com, to the best of Customer's knowledge, does not violate applicable law or knowingly infringe upon the rights of another party.
Customer is responsible for determining whether Customer's particular use of the Domain Name, including any business name, trademark, advertising, products, or services associated with it, is lawful and appropriate.
Indemnification
Customer agrees to defend, indemnify, and hold harmless Provider and its owners, officers, employees, agents, affiliates, successors, and assigns from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from Customer's use of the Domain Name, Customer's business or content, Customer's violation of law or third-party rights, or Customer's breach of this Agreement.
Limitation of Liability
To the fullest extent permitted by law, Provider will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost business, lost opportunities, loss of goodwill, or loss of data arising from or relating to this Agreement or Customer's use of the Domain Name.
Except where prohibited by law, Provider's total liability arising out of or relating to this Agreement will not exceed the amount of lease payments actually paid by Customer to Provider during the twelve (12) months immediately preceding the event giving rise to the claim.
Governing Law and Venue
This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any lawsuit or legal proceeding arising out of or relating to this Agreement shall be brought exclusively in a court of competent jurisdiction located in Lee County, Florida. Customer and Provider consent to personal jurisdiction and venue in those courts.
Notices
Provider may provide notices to Customer by email, through Customer's linkUwant account, or by another reasonable method using the contact information maintained by Customer.
Customer is responsible for keeping Customer's contact information current so that important notices can be received.
Assignment
Customer may not assign or transfer this Agreement or Customer's rights under it without Provider's prior written consent.
Provider may assign or transfer this Agreement and its rights and obligations in connection with the sale, transfer, restructuring, or other disposition of the Domain Name or Provider's business.
Severability and Waiver
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
A failure or delay by either party to enforce a provision of this Agreement does not waive that provision or any other right.
Interpretation
Words used in the singular include the plural, and words used in the plural include the singular, whenever the context reasonably requires. References to a person or entity include its permitted successors and assigns. Section headings are provided for convenience only and do not limit, expand, or otherwise affect the meaning or interpretation of this Agreement. This Agreement shall be interpreted according to its plain meaning and as a whole, and no provision shall be construed against either party solely because that party or its representative prepared or proposed the provision.
Entire Agreement
This Agreement, the agreement summary above, and the attachments and addendums incorporated below constitute the agreement between Customer and Provider concerning the lease of the Domain Name.
If an incorporated addendum specifically addresses a subject covered generally by this Agreement, the provisions of that addendum will control with respect to that subject.
No oral statement or representation changes this Agreement. Any amendment must be made in writing or electronically acknowledged by the parties.
Electronic Acceptance
Customer acknowledges that Customer has been provided an opportunity to review this Agreement and its incorporated attachments before entering into the lease.
By electronically accepting the Agreement and submitting the required payment, Customer agrees to be bound by this Agreement and its incorporated attachments. Customer agrees that electronic acceptance and payment have the same force and effect as Customer's written signature.
