Domain Name Purchase Agreement

Your Domain Name Purchase

Provider agrees to sell, and Buyer agrees to purchase, URLForRent.com for the Purchase Price of $19,900, subject to the terms of this Agreement.

This is a one-time purchase of the Domain Name. Following payment in full and completion of the transfer, Buyer will own and control the Domain Name. There are no continuing lease payments or licensing fees payable to Provider after the purchase is completed.

Purchase Price and Payment

Buyer agrees to pay the Purchase Price in full in U.S. Dollars within five (5) business days after execution of this Agreement.

Buyer is responsible for any registrar, transfer, or other fees associated with transferring the Domain Name to Buyer's registrar account.

Payment is not considered complete until the funds have cleared and are available to Provider. Until Provider receives cleared payment in full and the Domain Name transfer is completed, Provider retains ownership and control of the Domain Name.

If Buyer fails to make full payment within five (5) business days, Provider may terminate this Agreement and make the Domain Name available for sale, lease, or other disposition without further obligation to Buyer.

Transfer of the Domain Name

Following receipt of cleared payment in full and the information reasonably required to complete the transaction, Provider will transfer URLForRent.com to Buyer's registrar account.

Buyer agrees to reasonably cooperate with Provider and Buyer's registrar in completing the transfer.

Ownership and control of the Domain Name pass to Buyer upon completion of the registrar transfer.

After the transfer is completed, Buyer is responsible for maintaining and renewing the Domain Name registration and for all future registrar, registry, renewal, hosting, website, email, and other expenses associated with the Domain Name.

Provider's Right to Terminate Before Payment

Prior to receipt of the full Purchase Price, Provider may terminate this Agreement.

If Provider terminates this Agreement after receiving any portion of the Purchase Price, Provider will promptly refund the amount received. Upon refund, neither party will have any further obligation to complete the sale.

Provider Representations

Provider represents that Provider owns or controls URLForRent.com and has the authority to sell and transfer the Domain Name to Buyer.

Except for any claim disclosed below, Provider represents that, to Provider's knowledge, Provider has not received notice of any unresolved ownership claim concerning the Domain Name.

Disclosed Domain Name Claims

Any claim identified above is disclosed to Buyer as part of this Agreement. Buyer acknowledges having the opportunity to review the disclosed claim before completing the purchase.

Buyer's Responsibility and Due Diligence

Buyer is responsible for determining whether Buyer's intended ownership or use of the Domain Name, including any business name, trademark, trade name, website, advertising, products, or services associated with it, infringes or otherwise violates the rights of another person or entity.

Provider's sale of the Domain Name does not constitute a representation or warranty that every possible use of the Domain Name is legally permissible.

Buyer is responsible for conducting any legal, trademark, business, or other investigation Buyer considers appropriate before completing the purchase.

Domain Name Sold As a Digital Asset

Buyer understands that the Purchase Price is for the Domain Name itself.

Provider does not guarantee future website traffic, search engine rankings, advertising results, revenue, profitability, resale value, or appreciation in the value of the Domain Name.

After ownership is transferred, Buyer determines how the Domain Name will be used and assumes responsibility for its continued registration, development, operation, and use.

No Continuing Lease or Option Rights

Upon completion of the purchase and transfer, any existing linkUwant lease, Option to Buy, or other right relating solely to Customer's prior lease or option for the Domain Name will terminate because Buyer will then own the Domain Name.

Amounts previously paid for leasing or an Option to Buy do not reduce the Purchase Price unless specifically stated otherwise in the agreement summary above.

Indemnification

Following transfer of the Domain Name, Buyer agrees to defend, indemnify, and hold harmless Provider and its owners, officers, employees, agents, affiliates, successors, and assigns from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from Buyer's ownership or use of the Domain Name, Buyer's business or content, Buyer's violation of law or third-party rights, or Buyer's breach of this Agreement.

Limitation of Liability

To the fullest extent permitted by law, Provider will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost business, lost opportunities, loss of goodwill, or loss of data arising from or relating to this Agreement or the Domain Name.

Except where prohibited by law, Provider's total liability arising from this Agreement will not exceed the Purchase Price actually paid by Buyer to Provider.

Governing Law and Venue

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any lawsuit or legal proceeding arising out of or relating to this Agreement shall be brought exclusively in a court of competent jurisdiction located in Lee County, Florida. Buyer and Provider consent to personal jurisdiction and venue in those courts.

Interpretation

Words used in the singular include the plural, and words used in the plural include the singular, whenever the context reasonably requires. References to a person or entity include its permitted successors and assigns.

Section headings are provided for convenience only and do not limit, expand, or otherwise affect the meaning or interpretation of this Agreement.

This Agreement shall be interpreted according to its plain meaning and as a whole, and no provision shall be construed against either party solely because that party or its representative prepared or proposed the provision.

Assignment

Prior to completion of the Domain Name transfer, Buyer may not assign or transfer this Agreement without Provider's prior written consent.

Provider may assign this Agreement in connection with a sale, transfer, merger, restructuring, or other disposition of Provider's business or assets, provided Buyer's rights under this Agreement are preserved.

Severability and Waiver

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

A failure or delay by either party to enforce a provision of this Agreement does not waive that provision or any other right.

Entire Agreement

This Agreement, the agreement summary above, any disclosed Domain Name claims, and any attachments incorporated into this Agreement constitute the complete agreement between Buyer and Provider concerning the purchase of the Domain Name.

This Agreement supersedes prior oral or written communications, negotiations, representations, or agreements concerning the purchase of the Domain Name.

No oral statement or representation changes this Agreement. Any amendment must be made in writing or electronically acknowledged by the parties.
